1. Acceptance of Terms

By accessing or using Quad ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service. These Terms apply to all users of the Service, including without limitation users who are browsers, participants, Hosts, or contributors of content.

These Terms constitute a binding agreement between you and Atlas Studios LLC ("we," "us," or "our"), a North Carolina limited liability company and the operator of Quad.

2. Description of Service

Quad is a platform that connects university students through "blind events" — events where participants do not know who else is attending until they arrive. The Service allows users to discover, register for, and attend events, and allows approved Hosts to create and manage events.

3. User Accounts and Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Be a current student at a recognized university
• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. User-Generated Content and Events

4.1 User Responsibility

Users, including Hosts, are solely responsible for all content they create, post, upload, or otherwise make available through the Service ("User Content"). You represent and warrant that:

• You own or have the necessary rights to all User Content you post
• Your User Content does not violate any third-party rights, including intellectual property, privacy, or publicity rights
• Your User Content complies with all applicable laws and regulations
• Your User Content does not contain illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable material

4.2 Event Hosting Responsibility

Hosts are solely responsible for the events they create and host, including but not limited to:

• The nature, content, and conduct of their events
• Compliance with all applicable laws, regulations, and university policies or codes of conduct
• Ensuring the safety and well-being of event participants
• Obtaining any necessary permits, licenses, or permissions
• Managing event logistics, including location, timing, and capacity
• Any harm, injury, loss, or damage that occurs at or in connection with their events

4.3 Platform as Intermediary

Quad acts solely as an intermediary platform that facilitates connections between users and events. We do not create, endorse, control, or assume responsibility for any events, User Content, or activities conducted by users. We are not responsible for:

• The quality, safety, legality, or appropriateness of any event
• The accuracy, completeness, or truthfulness of any User Content
• The conduct of any user, Host, or event participant
• Any interactions, relationships, or disputes between users
• Any harm, injury, loss, or damage resulting from participation in events or use of the Service

5. Assumption of Risk

By participating in any event, you acknowledge and assume all risks associated with in-person gatherings, including but not limited to injury, illness, property damage, or other harm. Quad does not verify event venues, participants, or hosts and is not responsible for your personal safety. You agree that participation is voluntary and at your own risk.

6. Prohibited Activities

You agree not to:

• Use the Service for any illegal purpose or in violation of any law
• Create events that involve illegal activities, harassment, discrimination, or harm to others
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Service or related systems
• Use automated systems (bots, scrapers) without permission
• Transmit viruses, malware, or any destructive code
• Create events that violate university policies
• Engage in any activity that could harm, disable, overburden, or impair the Service

7. Content Moderation and Enforcement

We reserve the right (but are not obligated) to monitor, review, and remove any User Content or events at any time for any reason, and to suspend or terminate accounts that violate these Terms. Our moderation does not create any duty or liability — users remain fully responsible for their conduct and content.

8. Disclaimers and Limitation of Liability

8.1 Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

8.2 No Liability for User Content or Events

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATLAS STUDIOS LLC AND QUAD SHALL NOT BE LIABLE FOR:

• Any harm, injury, loss, or damage resulting from participation in any event
• Any disputes or interactions between users
• The quality, safety, or legality of any event or User Content
• Any unauthorized access to your account or data

8.3 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US (IF ANY) IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

9. Indemnification

You agree to defend, indemnify, and hold harmless Atlas Studios LLC, its affiliates, officers, directors, employees, agents, and licensors from any claims, damages, or losses arising from:

• Your use of the Service
• Your violation of these Terms
• Your User Content or hosted events
• Any harm, injury, or loss related to your conduct or participation

10. No Relationship

No agency, partnership, joint venture, or employment relationship is created between you and Quad or Atlas Studios LLC. You may not represent yourself as our agent or bind us in any way.

11. Intellectual Property

The Service and its original content, features, and functionality are owned by Atlas Studios LLC and protected by copyright, trademark, and other laws. By posting User Content, you grant us a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, modify, and display such content in connection with the Service.

12. University Independence

Quad is an independent platform and is not affiliated with, endorsed by, or operated by any university or college, including the University of North Carolina at Chapel Hill.

Use of university email addresses is solely for verifying student status and eligibility. Hosts are responsible for ensuring that their events comply with their university's policies and codes of conduct. No university assumes responsibility or liability for the platform, its users, or hosted events.

13. Termination

We may terminate or suspend your account immediately for any violation of these Terms. Upon termination, your right to use the Service ceases immediately. Sections that naturally survive termination (including limitations of liability and indemnification) shall remain in effect.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed under the laws of North Carolina, U.S.A., without regard to conflict of law provisions.

Any disputes shall be resolved through binding arbitration in Orange County, North Carolina, except where prohibited by law.

15. Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

16. Changes to Terms

We may modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice before new terms take effect. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.

17. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full effect.
