1. Acceptance of Terms
By accessing or using Quad ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
These Terms form a binding agreement between you and Atlas Studios LLC, a North Carolina limited liability company ("we," "us," "our").
These Terms apply to all users of the Service, including browsers, participants, Hosts, sponsors, or contributors of content.
2. Description of Service
Quad is a platform that enables university students to discover, join, and attend "blind events," and enables approved Hosts—including students, small businesses, organizations, and brands—to create, manage, or promote events.
Quad does not organize or supervise events. Quad provides a digital platform only.
3. Eligibility and Accounts
To use the Service, you must:
- Be at least 18 years old
- Be a current student with a valid .edu email address
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Accept responsibility for all activity under your account
We may suspend or terminate accounts that violate these Terms or engage in unsafe, fraudulent, abusive, or unlawful activity.
4. User Content and Host Responsibilities
4.1 User Content
Users are solely responsible for any content they create, upload, post, or share ("User Content"). By posting User Content, you represent and warrant that:
- You have all rights necessary to share the content
- Your content does not violate any law or third-party rights
- Your content is not harmful, unsafe, defamatory, obscene, hateful, discriminatory, or otherwise objectionable
We may remove content at our discretion, but we are not obligated to monitor content.
4.2 Event Hosting Responsibility
Hosts—including students, small businesses, brands, organizations, or other approved entities—are solely responsible for any events they create, promote, sponsor, or host through the Service. This responsibility includes:
- Compliance with all applicable laws, regulations, venue rules, and (if applicable) university policies
- Event safety, staffing, conduct, and participant well-being
- Obtaining required permits, licenses, permissions, or insurance
- Managing event logistics, including time, location, capacity, and age requirements
- Ensuring any co-branded or sponsored events comply with relevant rules
- Any harm, injury, loss, or damage occurring at or related to the event
Quad does not supervise events and assumes no responsibility for Host conduct.
4.3 Platform as Intermediary
Quad is a neutral platform that facilitates the posting and discovery of events. Quad does not:
- Organize, supervise, manage, or control events
- Endorse or guarantee any Host, brand, event, or participant
- Verify event venues, event details, or attendee information
- Control interactions or disputes between users
- Assume responsibility for any injury, harm, safety issue, or loss
Any contact, interaction, or relationship between users occurs solely at their own risk.
5. Sponsored Events and Brand Partnerships
Some events may display branding, promotional material, or sponsorship ("Sponsored Events"). Sponsorship does not mean that Quad or the sponsor organizes, supervises, or controls the event.
Hosts are fully responsible for:
- Sponsored event compliance
- All promotional claims made by the Host
- Ensuring events follow legal and university rules
Sponsors are not responsible for Host conduct, participant conduct, or event outcomes.
Quad does not guarantee, endorse, or supervise any Sponsored Event.
6. Assumption of Risk
By attending any event, you acknowledge and voluntarily assume all risks associated with in-person gatherings, including risk of injury, illness, property damage, or other harm.
Quad does not verify event venues, safety conditions, Hosts, or other participants. You attend events at your own risk.
7. Prohibited Activities
You agree not to:
- Use the Service for unlawful purposes
- Host or promote events involving illegal activity, harassment, dangerous conduct, or discrimination
- Create events that violate university housing or conduct policies
- Impersonate others or misrepresent your identity
- Upload harmful or malicious code
- Attempt to scrape, attack, disrupt, or overload the Service
- Use automated systems (bots, scrapers) without permission
- Circumvent safety or moderation systems
Violation may result in account suspension or termination.
8. Moderation Rights
We may, but are not obligated to, monitor activity or content. We may remove content or events, or suspend users, at our discretion.
Moderation does not create any liability or duty of care. Users and Hosts remain solely responsible for their conduct and content.
9. Disclaimers and Limitations of Liability
9.1 "As Is" Service
The Service is provided "as is" and "as available" without warranties of any kind.
We do not warrant that the Service will be uninterrupted, error-free, or secure.
9.2 No Liability for Events or User Actions
To the fullest extent permitted by law, Atlas Studios LLC and Quad are not liable for:
- Injury, harm, loss, or damage at or related to any event
- User conduct, Host conduct, or Sponsor conduct
- Disputes between users, Hosts, or participants
- Accuracy or legality of event information
- Unauthorized access to accounts or data
9.3 Limitation of Damages
To the maximum extent permitted by law, our total liability shall not exceed the amount you paid us in the previous 12 months or $100, whichever is greater.
10. Indemnification
You agree to indemnify and hold harmless Atlas Studios LLC, its officers, employees, and affiliates from any claims, damages, losses, or liabilities arising out of:
- Your use of the Service
- Your events, User Content, or sponsorships
- Your violation of these Terms
- Any harm or disputes involving your actions
11. No Relationship
Using the Service does not create a partnership, agency, employment, or joint venture between you and Atlas Studios LLC.
You may not state or imply that you represent Quad in any capacity.
12. Intellectual Property
The Service and all associated materials are owned by Atlas Studios LLC.
By posting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and reproduce the content in connection with operating the Service.
13. University Independence
Quad is not affiliated with, endorsed by, sponsored by, or operated by any university or college.
Universities have no responsibility or liability for:
- Events hosted on Quad
- Hosts or Hosts' conduct
- User interactions
- Sponsored or branded events
- Quad's operations
Use of a university email address is solely to verify student status.
Hosts are solely responsible for ensuring their events comply with any university-specific rules.
14. Termination
We may suspend or terminate your account for violating these Terms or for unsafe behavior.
Upon termination, all rights to use the Service immediately cease.
Provisions that naturally survive termination—including liability limits and indemnification—remain in effect.
15. Governing Law and Dispute Resolution
These Terms are governed by North Carolina law.
Any dispute shall be resolved through binding arbitration in Orange County, North Carolina, unless prohibited by applicable law.
16. Privacy Policy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect and use your information.
17. Changes to Terms
We may update these Terms at any time. If changes are material, we will provide at least 30 days' notice. Continued use of the Service after updates constitutes acceptance of the revised Terms.
18. Severability
If any provision is found invalid or unenforceable, all remaining provisions remain in effect.
